AN ORDINANCE PROVIDING FOR A PUBLIC ELECTRIC STREET LIGHTING SYSTEM IN THE CITY OF LOUISBURG, KANSAS, AND CONTRACTING WITH KANSAS CITY POWER & LIGHT COMPANY, ITS SUCCESSORS, ASSIGNS, AND GRANTEES, TO OWN OPERATE, AND MAINTAIN SAID PUBLIC ELECTRIC STREET LIGHTING SYSTEM.

WHEREAS, Kansas City Power & Light Company (the “Company”) is a corporation duly created, organized, and existing under and by virtue of the laws of the State of Missouri, and admitted to do business under the laws of the State of Kansas as a foreign corporation for the purposes of generating, transmitting, and distributing electric energy; and

WHEREAS, it is in the best interest of the parties that a public electric street lighting system be installed and operated by the Company pursuant to the terms hereof:

NOW, THEREFORE, be it ordained by the Governing Body of the City of Louisburg, Kansas (the “City”), that the City does contract with the Company as follows:

SECTION 1. The Company shall furnish and provide to the City, and the City shall accept and pay the Company for, municipal street lighting service, at locations as set forth in the attached Exhibit A, which exhibit is expressly incorporated herein, and as defined in and subject to the terms and conditions of the rates, rules, and regulations of the Company respecting municipal street lighting service as the same may be in effect and on file with the Kansas Corporation Commission from time to time during the term hereof, which rates, rules, and regulations are expressly incorporated herein by reference.

SECTION 2. The Governing Body of the City, through its designated officials, is hereby authorized and directed to pay the Company for such municipal street lighting service in accordance therewith from funds which shall be appropriated by the City each year for such purpose.

SECTION 3. This contract shall take effect and be enforced from and after its execution as provided by law and shall constitute a contract to remain in full force and effect and run contemporaneously with the existing electric franchise, Ordinance No. 391, which will expire on May 11, 1999.

SECTION 4. The Governing Body of the City is hereby requested, directed, and authorized to execute this Agreement on behalf of the City, and the City Clerk is hereby requested, directed, and authorized to attest by his/her signature the foregoing contract and to affix thereto the corporate seal of the City.

SECTION 5. All provisions of this Ordinance shall be binding upon the Company from and after the date this Ordinance takes effect, and shall inure to the benefit of the Company, its grantees, successors, and assigns.
